Welcome to Aobazar (“Platform”), a B2B marketplace connecting manufacturers of garments and shoes (“Manufacturers”) with retail shops (“Retailers”) for bulk transactions. By accessing or using our Platform, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the Platform.

2. Definitions

  • “Platform” refers to the website and/or mobile application provided by Aobazar.
  • “Manufacturer” means any business or individual that registers on our Platform to list and sell products.
  • “Retailer” means any business or individual that registers on our Platform to purchase products in bulk.
  • “User” means any party (Manufacturer or Retailer) accessing or using the Platform.

3. Eligibility

Users must be legally capable of entering into binding contracts under applicable Indian law. By using the Platform, you represent and warrant that you meet these eligibility requirements.

4. Account Registration and Security

  • Users must complete the registration process by providing accurate and complete information.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree to notify us immediately of any unauthorized use of your account.

5. User Obligations and Conduct

  • Users agree to use the Platform solely for lawful business purposes.
  • Any fraudulent, abusive, or illegal activity is strictly prohibited.
  • Manufacturers are solely responsible for the accuracy of the product listings, descriptions, and pricing. Retailers are responsible for verifying product specifications and quantities prior to purchase.

6. Transactions, Payments, and Orders

  • All orders placed on the Platform are subject to acceptance by the Manufacturer.
  • Prices, product descriptions, and other details are provided by the Manufacturers and are subject to change.
  • Payment terms and conditions shall be as agreed between the Manufacturer and Retailer, facilitated by the Platform as applicable.

7. Intellectual Property Rights

  • All content, trademarks, logos, and proprietary information on the Platform are owned by Aobazar or its licensors.
  • Users are granted a limited, non-exclusive, non-transferable license to use the Platform strictly for its intended business purposes.

8. Disclaimers and Limitation of Liability

  • The Platform is provided “as is” without warranties of any kind, either express or implied.
  • Aobazar shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use or inability to use the Platform.
  • Manufacturers and Retailers acknowledge that transactions are conducted at their own risk.

9. Indemnification

You agree to indemnify and hold harmless Aobazar , its affiliates, and its directors, officers, employees, and agents from any claims, losses, damages, liabilities, and expenses arising out of your use of the Platform or any violation of these Terms.

10. Termination

  • Aobazar reserves the right to suspend or terminate access to the Platform for any User who violates these Terms.
  • Upon termination, all rights granted to you under these Terms will cease immediately.

11. Governing Law and Dispute Resolution

  • These Terms shall be governed by and construed in accordance with the laws of India.
  • Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in [Your City/State], India.
